These Terms of Service ("Terms") govern your access to and use of the services provided by Cruxian Media LLC ("Cruxian Media," "we," "us," or "our"), including our website, advertising management, creative production, and consulting services. By engaging our services, you agree to be bound by these Terms.

Services Provided

Cruxian Media LLC provides advertising agency services including, but not limited to: digital advertising campaign management, media buying, brand strategy consulting, content creation, social media management, and SEO optimization. The specific scope of services for each client is defined in a separate Statement of Work or Service Agreement.

Client Responsibilities

• Provide accurate business information and timely access to required accounts and assets.
• Approve campaign strategies and creative materials within agreed timelines.
• Maintain sufficient advertising budget funds in connected ad accounts.
• Promptly communicate any changes in business objectives or market position.

Fees and Payment

All fees are detailed in the applicable Service Agreement. Invoices are due within 14 days of issuance unless otherwise agreed in writing. Cruxian Media reserves the right to suspend services for accounts overdue by more than 30 days. All fees are non-refundable except as expressly stated in our Refund Policy.

Intellectual Property

Upon receipt of full payment, creative assets produced specifically for the client become client property. Cruxian Media retains the right to display completed work in its portfolio. All proprietary methodologies, frameworks, and internal tools remain the exclusive intellectual property of Cruxian Media LLC.

Confidentiality

Both parties agree to maintain the confidentiality of non-public business information shared during the course of the engagement. This obligation survives termination of the service relationship for a period of two (2) years.

Limitation of Liability

Cruxian Media's liability for any claim arising out of services rendered shall not exceed the total fees paid by the client in the three (3) months preceding the claim. We expressly disclaim liability for indirect, consequential, or speculative damages including, without limitation, lost profits or lost advertising revenue.

Term and Termination

Service agreements may be terminated by either party with thirty (30) days' written notice. Cruxian Media may terminate immediately for breach of these Terms, non-payment, or client conduct that is unlawful or harmful to agency operations.

Governing Law

These Terms shall be governed by the laws of the State of Mississippi. Any disputes shall be resolved in the courts of Oktibbeha County, Mississippi.
